Overview
These Terms of Service ("Terms") are a binding agreement between you and SignageLAB ("we", "us", or "our"), a company operating from Kathmandu, Nepal. They cover your use of the SignageLAB cloud content management system (CMS), our websites (including signage-lab.com and the SignageLAB portal), the SignageLAB Player hardware, and any related services (together, the "Services").
By creating an account, purchasing a player, or otherwise using the Services, you agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree, please do not use the Services.
Eligibility & accounts
- You must be at least 18 years old and able to enter into a contract under Nepali law (or the law of your country, if different) to use the Services.
- You are responsible for the accuracy of the information you provide when you sign up, and for keeping your login credentials confidential.
- You are responsible for all activity on your account, including activity by users you invite. Notify us promptly if you suspect unauthorised access.
- Administrators within an account may add, remove, or change the permissions of other users. Make sure the right people hold administrator rights.
Licence to use the platform
Subject to your compliance with these Terms and ongoing payment of any applicable fees, SignageLAB grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the CMS and websites for your internal business purposes during the term of your subscription or active licence.
This licence does not transfer any ownership rights. You may not sublicense, resell, lease, white-label, or otherwise make the Services available to third parties without our prior written agreement.
Player hardware
When you purchase a SignageLAB Player, ownership of the physical device transfers to you on delivery. The software that runs on the player remains licensed to you under these Terms, including any over-the-air firmware updates we issue.
- Warranty. Players ship with a 12-month limited warranty against manufacturing defects, starting from the date of delivery. Damage from misuse, liquid, power surges, or unauthorised modification is not covered.
- Repair & replacement. If a covered fault occurs, contact our support team. We may repair, replace, or refund the unit at our discretion.
- Tampering. Removing the SignageLAB operating system, installing third-party signage software, or otherwise modifying the device may void the warranty and may terminate the platform licence tied to the device.
- Lost or stolen devices. Notify us promptly so we can deactivate the device from the cloud. You remain responsible for any fees associated with the device until deactivation.
Fees, renewals & taxes
- Player licence. A one-time fee is payable per player at the time of purchase, as set out on the pricing page or your order.
- Annual renewal. Continued access to the cloud CMS, content sync, support, and bundled cloud storage requires payment of an annual renewal fee per display, beginning 365 days after the player is activated.
- Lapse. If the renewal is not paid on time, your player will continue to show the last cached playlist, but cloud CMS access, content sync, and support will be paused until the renewal is settled.
- Additional storage. Cloud storage above the 1 GB-per-display allocation can be purchased in additional increments and is billed at the rate quoted at the time of purchase.
- Taxes & charges. Prices exclude applicable VAT, customs duties, transport, mounting and installation, and any other government levies, which are payable in addition.
- Refunds. Player hardware may be returned in its original condition within 7 days of delivery, subject to a restocking fee. Annual renewals and unused storage allocations are non-refundable once paid, except where required by law.
- Late payment. We may charge interest on overdue amounts at a reasonable commercial rate from the date due until paid in full.
Customer content
You retain full ownership of any media, text, layouts, and other content you upload to the Services ("Customer Content"). You grant SignageLAB a worldwide, royalty-free licence to host, store, transmit, cache, and display Customer Content solely as necessary to operate the Services for you.
You are solely responsible for Customer Content, including ensuring you have all rights, licences, and consents needed to display it on your screens. You represent that Customer Content does not infringe any third-party rights or violate any law.
We may temporarily remove or refuse to display Customer Content that, in our reasonable judgement, breaches these Terms or applicable law. We will notify you when we do so wherever practical.
Acceptable use
You agree not to use the Services to:
- Publish content that is illegal, defamatory, obscene, hateful, or that incites violence.
- Display content that infringes copyright, trademark, privacy, publicity, or any other third-party right.
- Display content that depicts minors inappropriately or that violates child-protection laws.
- Attempt to circumvent the player's lockdown, reverse engineer the software, or access non-public portions of the Services.
- Probe, scan, or test the vulnerability of the Services, or disrupt or interfere with their normal operation.
- Use automated means to scrape the websites or the portal beyond rates that a reasonable human user would generate.
- Resell, share access, or otherwise make the Services available to anyone outside your organisation without our written consent.
Service availability
We work hard to keep the Services online and performing well, but we do not guarantee uninterrupted access. Scheduled maintenance, internet outages at your location, mobile network conditions, force-majeure events, and third-party infrastructure issues can all affect availability.
For larger deployments, separate service-level commitments may be agreed in writing as part of an enterprise arrangement.
Intellectual property
The SignageLAB name, logo, player hardware design, CMS software, documentation, designs, and all related intellectual property are owned by us or our licensors and are protected by copyright, trademark, and other laws. Nothing in these Terms transfers any ownership of our intellectual property to you.
If you send us feedback, suggestions, or improvement ideas, we may use them without restriction or obligation to you.
Third-party services
The Services may interact with third-party platforms (for example, when you embed a YouTube video, an RSS feed, or a social-media post in a layout). Your use of those third-party services is governed by their own terms. We are not responsible for the content or availability of third-party services.
Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Services will be uninterrupted, error-free, or that any defect will be corrected within a specific timeframe. You use the Services at your own risk.
Limitation of liability
To the maximum extent permitted by law, in no event willSignageLAB, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to these Terms or the Services, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you in connection with the Services in any 12-month period will not exceed the total fees you actually paid to SignageLAB during that period.
Some jurisdictions do not allow the exclusion or limitation of certain damages, in which case the above limits apply only to the maximum extent permitted by law.
Indemnity
You agree to indemnify and hold harmless SignageLAB from and against any claims, damages, losses, and reasonable legal costs arising out of (a) Customer Content; (b) your use of the Services in breach of these Terms or applicable law; or (c) your violation of any third-party right.
Suspension & termination
You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees when due, or if we are required to do so by law. We will give you reasonable notice where practical.
On termination of your account, your access to the cloud CMS ends. You may request a copy of Customer Content during a reasonable wind-down period, after which we may delete or archive it. Sections that by their nature should survive termination (including fees owed, intellectual property, disclaimers, limitation of liability, indemnity, and governing law) will continue to apply.
Changes to the terms
We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of the page. For material changes, we will give you reasonable advance notice — for example, by email or by an in-portal notice — before the changes take effect. Continuing to use the Services after the effective date constitutes acceptance of the updated Terms.
Governing law
These Terms are governed by the laws of Nepal, without regard to its conflict-of-law principles. The courts of Kathmandu have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, except where mandatory consumer-protection laws require otherwise.
